PROFESSIONAL COLLABORATION CONTRACT

Both parties may be referred to jointly as "the Parties" or individually as "the Party".The Parties, of their own, spontaneous free will, declare that they have and recognise mutually and reciprocally, the necessary legal capacity to enter into this Contract, to which effect they
DECLARE
I.That the main activity of IDH is the intermediation in the real estate market in Spain.
II.That the main activity of ......................... is the intermediation in the real estate market in (Country)............
III. That the Parties, by virtue of their pre-existing relationship and mutual knowledge, have agreed to enter into a professional collaboration agreement under the terms established herein.
IV. That, by virtue of the foregoingconsiderations, the Parties, of their own, spontaneous free will, have agreed to enter into this Professional Collaboration Contract (hereinafter referred to as "the Contract") subject to the following
CLAUSES
1. Purpose
During the period of validity of the Contract, the parties undertake to collaborate in order that British buyers may visit property developments in Spain in the form of an inspection trip.
2. Duration
The services will come into effect from the day following the signing of the Contract. The present Contractshall have a duration of one year from the date of signing and shall be tacitly renewable for similar periods, unless one of the Parties gives notice of termination prior to the extension of the Contract.
3. Obligations of the Parties.
Corporación will undertake to:
1) Explain and exhibit to ................................ the conditions of collaboration reached with Spanish Developers who have signed with IDH regarding inspection trips.
2) Deliver, sufficiently in advance,the documentation relating to the inspection trip to be carried out by its clients, and specifically, the civil liability insurance, details of the destination airport, distance of the developments and hotels, as well as the programme of the inspection visit.
3) Allow ........................................... to advertise the properties and developments offered by IDH.
............................................ will undertake to:
1) Promote the properties of IDH at real estate fairs and, in particular, during the inspectiontrips.
2) Forward to IDH the agreements signed by its clients in relation to the inspection trip.
3) To have a representative or agent of ................................... travel to Spain to visit the properties and developments offered.
4) SUBJECT OF FEES
4. Confidentiality
The parties undertake to maintain the confidentiality of any information, related to the provision of services or clients, to which they have reciprocal access in connection with the provision of the services referred to in this Contract.
5. Validity of clauses
If any clause of the Contract or any part there of is found to be invalid or unenforceable, the remaining clauses or parts there of shall continue to be valid and enforceable.
6. Termination of the Contract
In the event of termination of the Contract by eitherparty for breach of any of its obligations under the contract, it shall beterminated in accordance with the provisions of the Civil Code.
7. Notifications
For the purposes of notifications, summons and reports of any kind to which the Contract gives rise, the addresses of the Parties shall be understood to be those which appear in the Contract. In the event of anychange of address, both parties undertake to notify the other party of such a changein writing.
8. Assignment of the Contract
The Parties may not assign their rights or obligations under the Contract to third parties unless expressly authorised in writing by the other Party.
9. Personal Data
Both Parties undertake to keep the most absolute secrecy with regard to the personal data to which they have access in compliance with the Contract and to observe all the legal provisions contained in Organic Law15/1999, on the Protection of Personal Data. In particular, the parties undertake not to apply or use the personal data processed or those to whicht hey have had access during the provision of the Service for purposes other than those contained in the Contract, nor to transfer them, not even for their conservation, to other persons. The parties shall apply the security measures established in Royal Decree 994/1999, Security Regulations, to the dataprocessed on behalf of the Client, in accordance with the type of dataprocessed. Once the Contract has ended, both parties must return the data to each other in the same format in which they were sent and will not keep any copy of the data.
10. Applicable law and competent jurisdiction
The Contract shall be governed by and construed inaccordance with the laws of Spain and shall be subject to the jurisdiction ofthe Law Courts of Murcia, Spain.
The Parties express their agreement with this present Contract, which they grant and sign in two original copies, at the place and on the date indicated above.
